Terms of Service

1. Provider

The WasalaOptima service (wasalaoptima.com, the "Service") is provided by:

The diagnostic is ordered through a separate order agreement. Before the engagement begins, the Customer receives the agreement and NDA for online acceptance. The signed agreement and NDA prevail over these general terms if they conflict.

2. The Service

WasalaOptima is a one-off AI opportunity diagnostic based initially on the Customer's financial statements and other agreed material. The deliverable is a management decision package with indicative savings potential, prioritised opportunities, implementation conditions and an AI Tooling Blueprint. Implementation and other follow-on work are not included unless separately agreed.

3. Engagement and cooperation

Work begins after the order agreement and NDA have been accepted, the advance invoice has been paid and the agreed source material has been received in usable form. The Customer shall provide timely, accurate and sufficiently complete information and nominate a contact person. The delivery timetable is confirmed for each engagement.

4. Customer data

The Customer retains all rights to its material. The Customer grants Wasala Oy a limited right to process it solely to prepare, deliver and secure the diagnostic and to meet legal obligations. The Customer confirms that it is entitled to disclose the material and shall avoid unnecessary personal data and special-category personal data unless expressly agreed in advance.

5. Acceptable use

The Customer may use the report internally for management and planning. The report or service may not be resold, presented as an independent audit or assurance opinion, reverse engineered, or used unlawfully. Sharing with the Customer's advisers is permitted subject to appropriate confidentiality.

6. AI-generated output

The report combines Customer-provided information, automated analysis, AI models and market or benchmark assumptions. Operational recommendations based on financial statements are hypotheses to be validated with process descriptions, system data, interviews or other operational evidence before an investment decision. Estimates marked with ~ are indicative. The Customer remains responsible for decisions and implementation.

7. Price and payment

The price of the diagnostic report is EUR 4,900 plus VAT 25.5%, unless the order agreement states otherwise. Wasala Oy invoices the full amount in advance when the order is placed. Work starts after cleared payment and receipt of the agreed material. There is no recurring subscription, automatic renewal or credit package in this offer. Additional work, travel and implementation services require a separate written agreement.

8. Order, NDA and delivery

After an order request, Wasala Oy sends the order agreement and NDA for acceptance. Material is transferred through the agreed secure channel. The report is delivered electronically and, where agreed, presented in a review meeting. Material changes in scope or additional source material may affect the timetable and require a revised quotation.

9. Cancellation and termination

Before work begins, cancellation and any refund are handled under the order agreement and mandatory law. After analysis has begun, Wasala Oy may invoice work performed and non-cancellable costs. Either party may terminate for a material breach not remedied within a reasonable period. Confidentiality, intellectual-property, payment and liability provisions survive termination.

10. Limitation of liability

To the maximum extent permitted by law, Wasala Oy is not liable for indirect or consequential loss, lost profit or business opportunity, or decisions made on the basis of indicative estimates. Aggregate liability is limited to the fee paid for the affected diagnostic engagement. Nothing limits liability that cannot lawfully be limited.

11. Applicable law

These terms are governed by Finnish law. Disputes shall be resolved primarily by negotiation, and secondarily settled finally by arbitration under the Arbitration Rules of the Finland Chamber of Commerce.

• (b) The seat of arbitration is Helsinki, Finland.
• (c) The language of the arbitration is English.
